Terms of Service
Welcome to Health Management's Client Portal ('Portal'). Health Management provides the Portal to you, subject to the following Terms of Service, which may be updated by Health Management Ltd (Health Management) from time to time without notice. By using the Portal you are agreeing to the following Terms of Service.
Description of Service
Health Management provides you with access to the Portal, through which you receive personalised content ('Content'). The service does not include arranging or providing for your access to the Internet, web access tools and applications, communication devices and telephony charges.
Registration and Privacy
To use the Portal you must register as a user with Health Management. The information you provide about yourself must be true, accurate and complete. You are responsible for maintaining the accuracy of your information. Health Management shall not grant a user account to you in the event the information required at registration is not completed. In the event Health Management learns or suspects that the information you provide is not true, accurate and complete then it reserves the right to suspend or terminate your access to the Portal without notice to you.
The information you submit as part of initial registration to the Portal and all updates to such information thereafter are subject to Health Managements Privacy Policy.
You agree that Health Management may disclose your information and any content you transmit through the Portal to its affiliated companies for purposes of a) administering your account, b) legal requirements and c) enforcement of these Terms of Service.
Security
After successfully completing the registration process, you shall receive access to the Portal via the user and password information you provided. You are responsible for the security of these details. You shall not disclose these details to any other person or organisation nor leave the device you use for accessing the Portal whilst still logged into your account. You shall cease to use these details if you know, believe or suspect that there has been a disclosure of these details to another person or organisation or that there has been unauthorised use by others of your account or a breach of these Terms of Service.
User Conduct
You agree and acknowledge that all Content is the property of Health Management. You are responsible for all content that you upload, post, email or other transmit or download through the Portal. Health Management does not control your content posted through the Portal and therefore is not responsible for its accuracy. You agree that you shall not hold Health Management responsible or liable for any Content or other user content that you may find objectionable on whatever grounds.
Health Management does not monitor your content but Health Management reserves the right (not the obligation) in its sole discretion to delete, refuse, move any content that contravenes these Terms of Service or is otherwise objectionable or at the request of any other user if that user provides reasons for their objection.
You shall evaluate and satisfy yourself as to the completeness and accuracy of the Content and other user content and bear all risks associated with the use of any Content. You may not rely on Content and other user content.
You agree that you shall not:
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive, hateful or racist;
- Ý Impersonate any other person or organisation or misrepresent your affiliation with any person or organisation;
- Manipulate Content or alter Content in any way so as to obscure or hide the origin of any Content;
- Transmit any Content that you do not have a right to transmit;
- Transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary or intellectual property rights of any person or organisation;
- Transmit any unsolicited or unauthorised content of an advertising, marketing or promotional nature, such as but not limited to junk mail, chain letters, spam;
- Transmit any content that contains harmful programme code, bombs, logic bombs or viruses;
- Interfere with or disrupt the Service or the servers or networks connected to the Service, or ignore any requirement, procedure, policy or regulations of networks connected to the Service;
- Violate any applicable laws or regulations concerning security and data;
- Collect or store personal data about other users;
- Transmit content or Content in contravention of all applicable laws regarding the transmission of electronic and technical data from the UK , the USA and the country in which you reside;
- Reproduce, duplicate, copy, sell or exploit for any commercial purposes, any portion of the Service, or access to the Service.
Indemnity
You agree to hold Health Management and its affiliates harmless from any claims or demands from any third parties concerning your content transmitted or stored via the Portal, your use of the Portal, your connection to the Portal and your breaches of these Terms of Service and the Privacy Policy.
Service Modification
Health Management may modify the services available via the Portal at any time without notice to you.
Termination
You agree that Health Management reserves the right to terminate your access to the Portal for any reason including, without limitation, lack of use, breach of these Terms of Service and suspecting that the security of your password and user information has been compromised.
Links
The Service may provide links to other internet sites or resources. Health Management is not responsible for the availability of such sites or resources and does not endorse and is not responsible or liable for any of their content. You agree that Health Management shall not be responsible for any damages or loss, indirectly or indirectly, caused by or in connection with use or reliance on content from such sites or resources.
Grant of licence to access Portal
You are granted a non-exclusive, non-transferable licence to access the Portal in accordance with these Terms of Service.
Liability
Except in respect of injury to or death of any person or any other liability which cannot be limited or excluded by law (for which no limit applies), the respective liability of Health Management to you in respect of each event or series of connected events shall not exceed £500,000. Health Management shall not be liable to you for loss of profits or contracts, loss of goodwill or other special, indirect or consequential loss whether arising from negligence, breach of contract or howsoever incurred.
Notices
Notices to Health Management under these Terms of Service are to be sent to the Information Security Office, Health Management Ltd, Ground Floor, 79-89 Lots Road, London SW10 ORN.
Intellectual Property Rights
You acknowledge and agree that the copyright, trademarks, trade names, patents and all other intellectual property rights subsisting in the Portal and the right to the domain name www.healthmanltd.com shall vest and remain with Health Management and nothing in these Terms of Service shall operate as an assignment to you of such intellectual property rights and/or right to the domain name.
